01.Introduction and Definitions
1.1This agreement governs the engagement of the parties for the building of a website for the Client, per the specification in Appendix A.
1.2"The Project" — the final website to be built per the agreed specification.
1.3"Deliverables" — design files, code, and all materials the Provider transfers to the Client during and at the end of the Project.
1.4"Milestone" — a point in the schedule after which a portion of the compensation is paid.
02.Scope of Service
2.1The Provider will build for the Client a website as detailed in Appendix A, including: design, development, deployment, and 30 days of post-launch support.
2.2Services beyond the defined scope (additional features, material changes) will be billed separately by written agreement.
2.3The service does not include: creating original content, professional photography, purchasing paid images, or marketing campaigns — unless otherwise specified in Appendix A.
03.Schedules
3.1The Provider undertakes to complete the Project within ____ business days from design approval.
3.2Milestone schedule:

3.3Delays caused by the Client (failure to respond, missing content) are not deemed a delay by the Provider and extend the schedule accordingly.
04.Deliverables and Handover
4.1At project completion the Client will receive:
- A live site on their domain
- Full admin access for content management
- Source code (per the agreed stack)
- Access to Google Analytics and Search Console (in the Client's name)
- Basic technical documentation + content update guide
4.2Delivery will be documented in a signed document sent by email confirming transfer of the deliverables.
05.Payment Terms
5.1Total compensation for the service: ₪______ + VAT.
5.2Payment split by milestone:
- 40% — at contract signing (kicks off the work): ₪______
- 30% — at final design approval: ₪______
- 30% — at delivery of the live site: ₪______
5.3Payment methods: bank transfer, credit card, or check.
5.4A tax invoice/receipt will be issued for each payment and emailed to the Client the same day.
5.5A payment delay of more than 14 days from the due date — the Provider may suspend work and charge lawful interest.
06.Revision Rounds and Changes
6.1Each stage includes up to 3 revision rounds reasonable in the Provider's professional discretion.
6.2Changes beyond that will be performed at the hourly rate of ₪400 per working hour, subject to the Client's prior approval.
6.3Material scope changes (new features not defined in Appendix A) — require a written addendum to this agreement.
07.Warranty and Maintenance
7.1The Provider undertakes to fix at no additional charge any bug caused by his code, for 30 days from launch.
7.2After 30 days — bug fixes, content changes, or new features will be charged hourly or via a maintenance package.
7.3Monthly maintenance packages are available from ₪500/month (includes daily backups, security updates, and minor bug fixes).
08.Intellectual Property
8.1Upon full payment of the compensation, all final code and design become the exclusive property of the Client.
8.2The Client may edit, transfer, or hand over the code to other developers at any time without restriction.
8.3The Provider reserves the right:
- To display the project in his portfolio
- To list the Client in a customer list for demonstrating experience
- To use the general know-how and techniques accumulated during the project (not the specific code) on future projects
09.Confidentiality
9.1The Provider undertakes to keep in strict confidence all information received from the Client, including content, financial details, business strategy, and customer lists.
9.2No disclosure to third parties — except with the Client's written consent or by court order.
9.3A separate NDA will be signed at the Client's request — at no additional cost.
10.Client Obligations
10.1The Client undertakes to provide the Provider:
- Content materials (text, suitable-quality images, vector logo)
- Full access to domain and hosting (login details)
- Response to the Provider's inquiries within 48 business hours
- Written approvals at agreed checkpoints
10.2The Client's delay in approvals or material provision — entitles the Provider to extend the schedule accordingly.
11.Limitation of Liability
11.1The Provider is not responsible for business outcomes of the site (inquiries, sales, Google rankings) — these depend on many factors beyond building the site.
11.2The Provider is not responsible for indirect damages, loss of profits, consequential damage, or damage arising from third-party actions (hosting provider, Google, payment processor).
11.3Maximum liability of the Provider for any claim shall not exceed the amount actually paid for the project.
12.Cancellation and Termination
12.1The Client may cancel the agreement:
- Within 7 days of signing (before substantial work begins) — full refund of the advance
- After 7 days — payment for work already performed, at the hourly rate
- After launch — the Client is not entitled to a refund
12.2The Provider may suspend work in cases of:
- Payment delay of more than 30 days
- Lack of cooperation by the Client that prevents reasonable progress
- Unlawful requests or requests contrary to the terms
13.Force Majeure
13.1Both parties shall not be liable for delay or non-performance arising from circumstances beyond their control, including: natural disasters, wars, pandemics, national-scale strikes, or global internet outages.
14.Jurisdiction and Applicable Law
14.1This agreement is governed by Israeli law only.
14.2Exclusive jurisdiction: the competent courts of the Jerusalem district.
14.3Before turning to court, the parties undertake to attempt amicable resolution of disputes, and if needed — through mediation.
15.General
15.1This agreement constitutes the entire understanding between the parties regarding the project. Any prior agreement, summary, or representation — is void.
15.2Amendments or additions to the agreement shall be made in writing and signed by both parties.
15.3The invalidity of one clause does not affect the validity of the other clauses.
15.4The parties undertake to act in good faith, transparency, and fairness throughout the project.
